Golden Dawn Minerals Inc.: Private Placement of $66,810
VANCOUVER, BRITISH COLUMBIA -- (Marketwired) -- 04/04/13 -- Golden Dawn Minerals Inc. (TSX VENTURE: GOM)(FRANKFURT: 3G8N) (the "Company" or "Golden Dawn") announces that it has signed non-broker private placement subscription of 2,227,000 units for aggregate gross proceeds of $66,810. Each unit comprises one common share and one transferrable purchase warrant which entitle the holders to acquire one additional common share for a period of two years at a price of $0.10.
No insider and related party of the Company subscribed the private placement, and no finder's fee was paid. The Company will pay $30,000 to the independent auditor of the Company, $6,000 for the office rent, $4,564 to transfer agent and $5,824 for the annual sustaining fee to maintain the Company's listing status, and the remaining will be for employees' wages and general purposes.
Completion of the offering is subject to TSXV approval. Approval of the private placement is being sought pursuant to the TSXV's Notice to Issuers dated December 12, 2012, regarding Private Placements - Extension and Modification of Temporary Relief from Certain Pricing Requirements.
