Glass Lewis Endorses All Walter Energy Nominees to Board; Rejects Audley Capital′s Slate

12.04.2013  |  Business Wire

Walter Energy, Inc. (NYSE: WLT) (TSX: WLT) today announced that Glass
Lewis has recommended that Walter Energy shareholders vote on the WHITE
proxy card FOR all ten of the individuals nominated by the Company's
Board of Directors for election to the Board at the Company's Annual
Meeting of Shareholders on April 25, 2013. Glass Lewis is a leading
proxy voting advisory service whose recommendations are considered by
major institutional investment firms, mutual funds, and other
fiduciaries throughout the country.

In endorsing the Walter Energy nominees, Glass Lewis recommended that
shareholders reject each and all of Audley Capital′s five nominees.

The Glass Lewis report stated, 'Overall, we believe the existing board
has demonstrated encouraging progress on [key] issues and it is unclear
to us that a change in oversight is necessary to effect additional
improvement. Further, we believe the current board possesses the
necessary qualifications and experience to continue to oversee the
Company going forward.?

The Company said the Board and management continue to be focused on
creating shareholder value and noted that yesterday′s preliminary
announcement of improving operating results in the first quarter is
evidence of progress underway. Walter Energy urges shareholders to vote
FOR ALL of its Board nominees on the WHITE proxy card.
