TORONTO, ONTARIO -- (Marketwired - Dec. 20, 2013) - Anconia Resources Corp. (TSX VENTURE:ARA) ("Anconia" or the "Company") announces that it proposes to complete a non-brokered private placement offering (the "Offering") of units ("Units") and flow-through units ("Flow-Through Units"), at a subscription price of $0.10 per Unit and $0.12 per Flow-Through Unit, for aggregate gross proceeds of up to $2,100,000.

Each Unit will consist of one common share of the Company and one-half of one common share purchase warrant, with each whole warrant entitling the holder to purchase one common share of the Company at a price of $0.15 per share for a period of 12 months following the closing of the Offering.

Each Flow-Through Unit will consist of one common share of the Company to be issued on a 'flow-though' basis and one-half of one common share purchase warrant, with each whole warrant entitling the holder to purchase one common share of the Company at a price of $0.16 per share for a period of 12 months following the closing of the Offering.

The Company intends to close the Flow-Through Unit portion of the Offering by the end of the month and anticipates that the Unit portion of Offering will close in January 2014. All securities to be issued under the Offering will be subject to a four-month statutory hold period in Canada.

In connection with the Offering, the Company may pay to certain finders (each, a "Finder") a cash commission ("Commission") equal to up to 8% of the gross proceeds of the Offering.

Completion of the Offering is subject to certain conditions including, but not limited to, receipt of TSX Venture Exchange acceptance.

It is intended that the proceeds from the Offering will be used to advance the Company's projects and for general working capital purposes. Proceeds from the sale of the Flow-Through Units will be used for Canadian Exploration Expenses on the Company's properties.
