Golden Share Announces Change to Its Management Team

Toronto, Ontario--(Newsfile Corp. - May 1, 2015) - Golden Share Mining Corp. (TSXV: GSH) ("Golden Share" or the "Company") announces the following changes to its management team. Ms. Ge (Anna) Mao, has resigned as Chairperson and Director, Dr. Zhijun He has resigned as Director, Interim President & CEO and Mr. Philippe Giaro has resigned as Director.

In their place, Mr. Zhen Huang, Mr. David Graham, Mr. Wes Roberts and Mr. Nick N. Zeng were appointed as new board members. Mr. Nick N. Zeng, also known as Mr. Nianqing Zeng, was appointed as Chairman, Interim President & CEO.

Dr. Huang, the Chairman of Beijing Donia Resources Co., Ltd., has established numerous connections in China through his more than 30 years' experience in the Non-Ferrous metals exploration industry of China.

Mr. Graham received a B.Sc. from the University of Waterloo in 1983. Since 1986, he has been President of R. Bruce Graham and Associates Ltd., a mineral consulting company founded in 1956. His technical and corporate management experience is in the fields of base and precious metals, uranium, industrial minerals and organic materials.

Mr. Graham has acted as a Director and/or officer of a number of private and public companies. While a Director and Vice President of Noront Resources Ltd., he was part of the team that discovered of a number of mineral deposits in the James Bay Lowlands, dubbed the "Ring of Fire". From 2010 until present, David has been a Director and Executive Vice President of Bold Ventures Inc.

Mr. Wes Roberts is a professional mining engineer with more than 30 years' experience. Mr. Roberts holds an M. Sc. (Mining Engineering) and an M.B.A. (Finance), and he specializes in the economic evaluation and development of mineral deposits.

Mr. Nick Zeng has more than 20 years of experience as an entrepreneur with business successfully operating in Canada, the United States and China.

Ms. Laurence Huss has resigned as VP Exploration and Ms. Hua (Helen) Gao has resigned as Corporate Secretary, respectively. Mr. Demin (Fleming) Huang has been appointed as the Company's new Corporate Secretary.

During the very difficult market conditions of the last couple years, Ms. Mao and Dr. He of Beijing Donia Resources Ltd., have repeatedly demonstrated great support to Golden Share Mining Corp.. The Company expresses its deep appreciation for this continuing support.

The Board would like to thank Ms. Ge (Anna) Mao, Dr. Zhijun He, Mr. Philippe Giaro and Ms. Laurence Huss for their dedication and service to the Company. The Board wishes them successes in all of their future endeavors.
