Centurion Annual General Meeting
VANCOUVER, BC--(Marketwired - October 27, 2015) - Centurion Minerals Ltd. (TSX VENTURE: CTN) ("Centurion", "the Company") announces results of its Annual General and Special Meeting ("AGM") held October 27, 2015. Approximately 15.8 million shares (24.7% of shares outstanding) were voted at the AGM. Of the shares voted, 99.9% were in favour of all management resolutions proposed in the Management Proxy Circular.
Resolutions proposed and approved include:
- The number of Directors for the Company was set at four.
- The four members elected to the Board of Directors include: David G. Tafel, Stephen J. Wilkinson, Kenneth A. Cawkell, and Joseph Del Campo.
- BDO Canada LLP, Chartered Accountants, was re-appointed as auditor of the Company for the ensuing year.
- The Company's Stock Option Plan was ratified.
- The proposed 1 for 5 share consolidation.
Subsequent to the AGM, the Board of Directors re-appointed the following officers:
Mr. Stephen Wilkinson - Chairman of the Board
Mr. David Tafel - President & CEO
Mr. Kenneth Cawkell - Secretary
In addition, and subject to regulatory acceptance, the Board of Directors have appointed Mr. Jeremy Wright (CPA, CMA) as Chief Financial Officer. Mr. Wright brings more than 16 years experience to Centurion, having extensive negotiation training and an honours degree in Environmental Economics from Brock University. Jeremy is currently the CEO of Seatrend Strategy Group, and previously spent 6 years in a senior role at Deloitte LLP working with senior management developing strategies and solutions to business issues mainly related to corporate finance, cost and risk management, and governance. Jeremy is also a Director of Good Ventures, the Canadian Freestyle Ski Association and Pacific Community Resources Society.
