Sage Gold Inc. Announces Closing of First Tranche of Private Placement and Appointment of New Chief Financial Officer
TORONTO, ONTARIO--(Marketwired - Dec. 3, 2015) - Sage Gold Inc. (the "Company") (TSX VENTURE:SGX) is pleased to announce that, further its press release dated November 17, 2015, it has completed the first tranche closing of its non-brokered private placement (the "Offering") of units (the "Units"), subject to final approval from the TSX Venture Exchange. The Company issued 1,000,000 Units at a price of $0.05 per Unit for gross proceeds of $50,000. Each Unit consisted of one common share in the capital stock of the Company (the "Shares") and Share purchase warrant (a "Warrant"). Each Warrant shall entitle the holder to purchase one Share at a price of $0.10 for a period of 36 months following the closing date of the Offering. Eligible finders pursuant to the Offering received a nominal cash fee of $1,000 and finder warrants to purchase 40,000 shares of the Company at a strike price of $0.10 until December 3, 2018.
Two (2) insiders of the Company participated in the Offering, thereby making the Offering a "related party transaction" as defined under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). Mr. Patrick Mars, Chairman and a director of the Company and Mr. Nigel Lees, President, Chief Executive Officer and a director of the Company, purchased, in the aggregate, 400,000 Units pursuant to the Offering.
Mr. Mars purchased 100,000 Units and will own or control 952,555 Shares or approximately 5.2% of the total Shares issued and outstanding after the completion of the Offering. Mr. Lees purchased 300,000 Units and will own or control 1,225,881 Shares or approximately 6.7% of the total Shares issued and outstanding after the completion of the Offering. The Offering was exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as the Company is not listed under a specified market (as set out in section 5.5(b) of 61-101) and the fair market value of the Shares issued to, nor the consideration paid by, Messrs. Mars and Lees exceeded 25% of the Company's market capitalization. No new insiders were created, nor has any change of control occurred, as a result of the Offering.
The securities issued pursuant to the Offering will be subject to a four (4) month and one (1) day statutory hold period. The Company intends to use the net proceeds from the first tranche of the Offering for general working capital purposes.
The Company is also pleased to announce the appointment of David McDonald, CPA, CA, as Chief Financial Officer (CFO) effective immediately. Mr. McDonald has served and continues to serve as CFO of several other junior mining companies. Rob Ryan, the outgoing CFO, will be devoting his full time to manage a private business in which he is a major shareholder. The Company wishes to welcome David and thank Rob for his contribution over the past two years.
