VANCOUVER, Sept. 12, 2017 - Ross J. Beaty, of 1550 – 625 Howe Street, Vancouver, British Columbia, V6C 2T6, announced today that his percentage of common shares (“Common Shares”) in the capital of Dalradian Resources Inc. (“Dalradian”), a company with an office at Queen’s Quay Terminal, 207 Queen’s Quay West, Suite 416, Toronto, Ontario, Canada M5J 1A7, has decreased to less than 10% as a result of certain issuances of Common Shares from treasury announced by Dalradian on August 2, 2017, August 25, 2017 and August 30, 2017 (collectively, the “Transactions”). Mr. Beaty did not acquire or dispose of ownership, or acquire or cease to have control over, any securities of Dalradian.Prior to the Transactions, Mr. Beaty owned, directly or indirectly, or exercised control or direction over 23,502,000 Common Shares and 2,187,500 Common Share purchase warrants (“Warrants”). Of these securities, 2,480,500 Common Shares were held by Kestrel Holdings Ltd. (“Kestrel”) and the rest were owned by Mr. Beaty personally. The 23,502,000 Common Shares represented approximately 9.2% of the total number of issued and outstanding Common Shares as of July 20, 2017. If all of Mr. Beaty’s Warrants were exercised, Mr. Beaty would have owned, directly or indirectly, or exercised control or direction over, approximately 10.0% of the issued and outstanding Common Shares as of July 20, 2017 on a partially diluted basis.
After the Transactions, Mr. Beaty continues to owns, directly or indirectly, or exercises control or direction over 23,502,000 Common Shares and 2,187,500 Warrants. Of these securities, 2,480,500 Common Shares remain held by Kestrel and the rest remain owned by Mr. Beaty personally. The 23,502,000 Common Shares represent approximately 8.4% of the total number of issued and outstanding Common Shares. If all of Mr. Beaty’s Warrants were exercised, Mr. Beaty would own, directly or indirectly, or exercise control or direction over, approximately 9.1% of the issued and outstanding Common Shares resulting in a decrease by 0.9% on a partially diluted basis.
Mr. Beaty may, in the future, acquire ownership and control over additional securities of Dalradian for investment purposes.
