Newmont Mining Corp.: Early Warning Report Filed Pursuant to National Instrument 62-103
DENVER, Nov. 9, 2017 - Newmont Mining Corp. (NYSE: NEM) (the "Company") announced today that it acquired, indirectly through its wholly-owned subsidiary Newmont Canada FN Holdings ULC, 2,179,642 common shares (the "Common Shares") of TMAC Resources Inc. ("TMAC"), at a price of C$7.00 per Common Share (the "Offering Price"), for total consideration of C$15,257,494, pursuant to a private placement (the "Private Placement"). The Private Placement was completed in connection with a concurrent public offering by TMAC of 2,907,360 Common Shares, plus an additional 174,442 Common Shares pursuant to an over-allotment option, conducted through a syndicate of underwriters led by BMO Capital Markets (the "Public Offering"). As at the date of the previous early warning report filed by the Company in respect of the Common Shares of TMAC on July 7, 2015 (the "Prior EWR"), the Company held 22,799,999 Common Shares representing approximately 30.7% of the issued and outstanding Common Shares of TMAC. In 2016, the Company acquired an aggregate of 1,401,979 Common Shares in connection with financings completed by TMAC. Immediately prior to the Private Placement, the Company held 24,201,978 Common Shares, representing approximately 28.79% of the issued and outstanding Common Shares of TMAC. Immediately following the Private Placement, the Company holds 26,381,620 Common Shares, representing approximately 28.79% of the issued and outstanding Common Shares of TMAC. The completion of the Private Placement results in no change in the Company's securityholding percentage from immediately prior to the Private Placement, and represents a decrease in the Company's ownership of 1.91% since the date of the Prior EWR.
The common shares of TMAC that the Company purchased were purchased and are presently being held for investment purposes. In the future, the Company will evaluate its investment in TMAC from time to time and may, based on such evaluation, market conditions and other circumstances, increase or decrease shareholdings as circumstances require through market transactions, private agreements or otherwise.
