AM Resources Corp. Announces the Closing of Private Placement of Shares and Debentures Units
MONTREAL, Aug. 15, 2018 - AM Resources Corp. (TSX VENTURE:AMR) to is pleased to announce that it closed on August 14, 2018 a private placements of common shares (each a “Share”) and debenture units (each a “Debenture Unit”) of the Corporation $522,121.15 and US$600,000 (the "Offering").
AM issued 3,071,305 Shares at an issue price of $0.17 per Share and 600 Debenture Units at an issue price of US$1,000 per Debenture Unit. Each Debentures Units is comprised of US$1,000 principal amount of 15.0% unsecured debentures of the Corporation due August 14, 2018 (the "Maturity Date") and 250 Share purchase warrants (each a "Warrant"). Each Warrant entitles the holder thereof to purchase a Share until the Maturity Date at a price of $0.30 per Share.
In connection with the Concurrent Financing, the Corporation has paid a finder fee of $38,430.20 and issued 226,060 non-transferable compensation warrants (each a “Compensation Warrant”) entitling the holder to acquire the same number of Shares at a price of $0.22 until August 14, 2019.
The Corporation will use the proceeds of the Offering for the development of its properties, gold trading activities and for working capital purposes.
All securities issued pursuant to the Offering are subject to the applicable statutory four month and one day hold period ending December 15, 2018. The Offering is subject to the final approval of the TSX Venture Exchange.
