Calibre Provides Update on Transaction With B2Gold
VANCOUVER, Aug. 29, 2019 - Calibre Mining Corp. (TSX-V: CXB) (the “Company” or “Calibre”) is pleased to announce that it has executed a definitive share purchase and consolidation agreement (the “Definitive Agreement”) with B2Gold Corp. (TSX:BTO, NYSE: BTG) (“B2Gold”), as contemplated by the binding agreement between Calibre and B2Gold announced on July 2, 2019.
As previously announced, B2Gold and Calibre (jointly the “Partners”) entered into a binding agreement for B2Gold to restructure its interests in, and for Calibre to acquire, the producing El Limon and La Libertad Gold Mines, the Pavon Gold Project and additional mineral concessions in Nicaragua (collectively, the “Nicaragua Assets”) held by B2Gold for aggregate consideration of approximately US$100 million (the “Purchase Price”). The Purchase Price will be paid with a combination of cash, common shares and a convertible debenture (the “Transaction”). Following the completion of the Transaction, B2Gold will own an approximate 31% direct equity interest in Calibre. B2Gold’s commitment and continuing involvement with the Nicaraguan operations is evidenced by its significant equity ownership, its right to appoint a director to the Calibre Board, and its participation on the Advisory Board.
Calibre continues to advance the requisite documentation required to facilitate the completion of the Transaction, including the previously disclosed concurrent private placement and the completion and dissemination of the management information circular to shareholders. Full details of the Transaction will be included in the Calibre management information circular, which is expected to be mailed to shareholders in September 2019. It is anticipated that the shareholder meeting and Transaction closing will take place towards the middle of October 2019.
In addition to shareholder approval, the Transaction is subject to applicable regulatory and shareholder approvals and the satisfaction of other closing conditions customary in transactions of this nature, including the approval of the TSX-V.
Trading Halt
Since announcing the transaction on July 2, 2019, trading in the shares of the Company have been halted. The Company expects trading to remain halted until completion of the Transaction towards the middle of October. Further, the Company expects to graduate from the TSX-V to the TSX when trading recommences.
