South Atlantic Gold Announces Market Advisory Engagement
Red Cloud will provide the Company with a range of capital markets advisory services and access to its mineral industry network to increase the Company's exposure to alternative sources of capital and to generate and maintain relationships with new and key investors. South Atlantic will be participating in many of the services of Red Cloud including marketing, media and advisement. The monthly marketing fee shall be $10,000 per month ("Marketing Fee"). In addition to the Marketing Fee, Red Cloud will receive a transaction fee in the event that a transaction ("Transaction") is consummated dependent on the value of that Transaction.
Red Cloud is a Toronto-based financial services company that provides assistance to mineral exploration and mining companies in accessing capital markets and enhancing their corporate profile.
Further to the Company's recent appointment of Anne Hite ("Hite") as VP Investor Relations the Company and Hite have entered into a consulting agreement ("IR Agreement") for a period of 12 months on a part-time basis, at an initial monthly fee of US$2,000 increasing to a full-time basis upon completion of certain milestones to a maximum rate of US$9,500 per month.
The Red Cloud Agreement and IR Agreement are subject to TSX Venture Exchange approval.
