Cristiano Veloso increases ownership of Verde AgriTech Plc to 19%

BELO HORIZONTE, May 31, 2022 - Cristiano Veloso (the “Acquiror”) announces that he acquired 693,087 shares (the “Shares”) of Verde AgriTech Plc (TSX: “NPK”) (OTCQB: “AMHPF”) (the “Verde” or “Company”) on the exercise of stock options (the "Issuance"), on May 30, 2022. Prior to the Issuance, The Acquiror held 9,451,547 Shares representing approximately 18.36% of the issued and outstanding Shares. Following the Issuance, The Acquiror holds 10,065,034 Shares representing approximately 19.30% of the issued and outstanding Shares.

The Acquiror received the Issuance shares at $0.61 per Share for total consideration of $422,783. The Acquiror acquired the Shares for investment purposes, and the Acquiror may, depending upon market and other conditions, increase or decrease his beneficial ownership, control or direction over additional securities of the Company, through market transactions, private agreements, treasury issuances, exercise of convertible securities or otherwise. The Acquiror does not have any plans related to any of the matters in the enumerated list in Item 5.1 of Form 62-103F1.

Brazil ranks second in global potash demand and is its single largest importer, currently depending on external sources for over 96% of its potash needs. In 2021, potash accounted for approximately 2% of all Brazilian imports by dollar value.
