Terrane Shareholders Approve Transaction With Thompson Creek
VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 09/23/10 -- Robert Pease, President and CEO of Terrane Metals Corp. ('Terrane' or the 'Company') (TSX VENTURE: TRX), is pleased to announce that at a special meeting held today, Terrane shareholders approved the previously announced acquisition of Terrane by Thompson Creek Metals Company Inc. ('Thompson Creek') (NYSE:TC and TSX:TCM) pursuant to a plan of arrangement (the 'Arrangement'). The special resolution was approved by 99% of the votes cast by securityholders entitled to vote on the resolution. Under the terms of the Arrangement, Terrane shareholders will receive C$0.90 in cash and 0.052 of a Thompson Creek share per Terrane share.
Completion of the Arrangement is subject to customary regulatory consents and other approvals and final approval of the Supreme Court of British Columbia. A court hearing is scheduled for September 24, 2010, with the completion of the Arrangement expected to occur in early October 2010.
