Gold Wheaton and Franco-Nevada Announce Shareholder Approval of Arrangement

VANCOUVER, March 8 - Gold Wheaton Gold Corp. (TSX: GLW) ('Gold Wheaton') and Franco-Nevada Corporation (TSX: FNV) ('Franco-Nevada') announced today that shareholders of Gold Wheaton have approved the previously announced plan of arrangement (the 'Arrangement') between Franco-Nevada and Gold Wheaton. Total votes cast at the special meeting of shareholders represented 129,296,537 common shares of Gold Wheaton or 78.91% of the total issued and outstanding common shares of Gold Wheaton. In the vote requiring 66 2/3% in favour of the Arrangement, 124,787,469 votes were cast FOR, representing 96.51% of the votes cast and in the vote requiring a majority of the minority in favour of the Arrangement under MI 61-101, 64,134,343 votes were cast FOR, representing 93.43% of the votes cast.

Gold Wheaton will now apply to the Supreme Court of British Columbia for a final order (the 'Final Order') approving the Arrangement. The hearing for the Final Order is expected to take place on March 11, 2011. Provided that the Final Order is granted, Gold Wheaton and Franco-Nevada expect to complete the Arrangement on or about March 14, 2011.
