True North Gems Announces $3.0 M Private Placement

VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 04/12/11 -- True North Gems (TSX VENTURE: TGX) announces it intends to complete a non-brokered private placement of up to 30,000,000 units at a price of $0.10 per unit, subject to regulatory approval. Each unit will be comprised of one common share and one half non-transferable common share purchase warrant, each warrant exercisable for one additional common share for a period of two years at a price of $0.15 per share for year one, and $0.20 per share for year two.

The Company expects to use the proceeds of the private placement to advance the exploitation permit application process with the Greenland government, seasonal exploration work, and for general working capital and other corporate purposes.

Finders' fees may be paid in connection with certain subscriptions under the private placement in cash and/or securities of the Company.
