Brigus Gold Announces ISS Recommends Approval of All of Brigus′ Proxy Proposals
Brigus Gold Corp. ('Brigus? or the 'Company?) (TSX: BRD) (NYSE Amex:
BRD) announces that Institutional Shareholder Services′ Proxy Advisory
Services ('ISS?) has issued a Proxy Alert on May 13, 2011 recommending
approval of all proxy items proposed at the Company′s Special and Annual
Meeting of Shareholders on May 27, 2011.
In the Proxy Alert, ISS amended its recommendations to a vote of 'For?
on Proposal 3 to approve the Company′s Amended Stock Option Plan
('Amended Plan?) and Proposal 4 to approve continuance of the Company
from the Yukon Business Corporations Act to the Canada Business
Corporations Act ('CBCA?) and adoption of the new by law. This was the
result of the changes Brigus made to improve its Amended Plan and by law
related to the continuance to CBCA. These changes are described in
Brigus′ May 13, 2011 news release.
ISS also recommends a vote of 'For? on Proposal 2 to approve the
proposed slate of seven directors of Brigus and on Proposal 1 to approve
the re-appointment of the Brigus′ independent registered chartered
accountant and authorizing the Board of Directors to fix its
remuneration.
Financial Reporting for Q1 2011
Brigus also announces that it plans to report its financial results
under International Financial Reporting Standards ('IFRS?) for the
fiscal first quarter ended March 31, 2011 by June 14, 2011, utilizing a
30-day extension permitted by the Canada Securities Administrators for
companies filing their first IFRS financial report.
