Strategic Metals Ltd. Announces Early Warning Report Filing Regarding Its Shareholdings in Rockhaven Resources Ltd.
VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 07/31/12 -- Strategic Metals Ltd. (TSX VENTURE: SMD) ("Strategic") announces it has acquired 2,586,000 "flow-through" common shares of Rockhaven Resources Ltd. ("Rockhaven") at a price of $0.36 per share pursuant to a private placement, for total subscription proceeds of $930,960.
Prior to the acquisition of these 2,586,000 shares, Strategic held 12,076,500 shares of Rockhaven, representing approximately 25.83% of Rockhaven's issued capital prior to the closing of the private placement. As a result of its participation in this private placement, Strategic now holds 14,662,500 shares of Rockhaven, representing approximately 28.01% of the 52,348,109 shares of Rockhaven currently issued and outstanding. All of these 14,662,500 shares of Rockhaven are held directly by Strategic and are being held for investment purposes. Strategic may in the future take such actions in respect of its Rockhaven shares as it deems appropriate in light of the market circumstances then existing, including the potential purchase of additional shares of Rockhaven through open market purchases or privately negotiated transactions, or the sale of all or portion of such holdings in the open market or in privately negotiated transactions to one or more purchasers.
There are no persons acting jointly or in concert with Strategic with respect to Strategic's shareholdings in Rockhaven, nor has Strategic entered into any agreements in respect of its shareholdings in Rockhaven with any person with which Strategic acts jointly or in concert.
